Independent Contractor Agreement

EmergencyMusician LLC — Effective upon acceptance during onboarding

1. Parties

This Independent Contractor Agreement ("Agreement") is entered into between EmergencyMusician LLC ("EM," "the Company," "we," or "us") and the individual musician completing the onboarding process ("Musician," "you," or "Contractor"). By checking the acknowledgment box during the EM onboarding flow, you confirm that you have read, understood, and agreed to the terms of this Agreement in full.


2. Independent Contractor Relationship

You are engaged by EmergencyMusician LLC as an independent contractor, not as an employee, partner, agent, or joint venturer. Nothing in this Agreement creates an employment relationship between you and EM. As an independent contractor, you are responsible for managing your own schedule and availability, providing your own equipment and transportation, paying all applicable federal, state, and local taxes on income earned through the platform including self-employment tax, and maintaining any licenses, permits, or certifications required for your work. EM will not withhold taxes on your behalf. Musicians who earn $600 or more through the platform in a calendar year will receive a 1099-NEC form from EM for tax reporting purposes.


3. Scope of Services

You agree to provide live musical performance services to churches and houses of worship ("Clients") who book you through the EmergencyMusician platform. Each booking constitutes a separate engagement. You are under no obligation to accept any specific booking, and EM is under no obligation to guarantee a minimum number of bookings. When you accept a booking through the EM platform, you agree to arrive fully prepared and ready to perform by the stated call time, bring all required equipment unless the booking specifies otherwise, conduct yourself professionally and in accordance with EM's Gig Rulebook, and complete the engagement as confirmed except in cases of documented emergency.


4. Platform Fee

EM retains a 5% platform fee on each completed booking. You receive 95% of the agreed booking rate. This fee covers platform operations, payment processing infrastructure, support services, and the technology that connects you to Clients. There are no signup fees, monthly fees, or hidden charges.


5. Payment Terms

All payments are processed through Stripe, EM's third-party payment processor. You must connect and verify a Stripe account to receive payment. EM is not responsible for delays caused by incomplete Stripe verification on your end. Standard payouts arrive within 2 business days of a completed booking. Instant payouts are available to eligible accounts through Stripe where supported. All payments for bookings sourced through EM must be processed exclusively through the EM platform. Accepting payment outside the platform for EM-sourced bookings is a violation of this Agreement. Payment disputes must be reported within 48 hours of the completed booking by contacting Contact@emergencymusician.com.


6. Cancellation Policy

EM operates in a last-minute booking environment. Reliability is critical. More than 72 hours before the booking: no penalty. Between 72 and 24 hours before the booking: a formal strike recorded on your account. Less than 24 hours before the booking: a $45 cancellation fee deducted from a future payout and possible suspension from receiving new booking requests. If a Client cancels a confirmed booking, you will receive a cancellation fee from EM. Multiple cancellations within a short period may result in temporary suspension or permanent removal from the platform at EM's discretion.


7. Off-Platform Bookings Prohibited

You agree not to solicit, arrange, or accept bookings or compensation from any Client introduced to you through the EM platform outside of the EM platform, both during the term of this Agreement and for a period of 12 months following the conclusion of your last EM booking with that Client. This includes direct cash payments, personal invoices, third-party app payments, or any other arrangement that circumvents EM's booking and payment system. Violation of this policy may result in immediate suspension or permanent removal from the platform, forfeiture of any pending payouts, and legal action to recover lost platform fees where applicable. 8. Ratings, Reviews, and Conduct

Clients may rate and review your performance after each completed booking. Ratings are based on performance, preparedness, punctuality, professionalism, and communication. These ratings are visible to other Clients and directly affect your booking frequency on the platform. You agree to conduct yourself in accordance with EM's Gig Rulebook at all bookings. EM reserves the right to suspend or remove any Musician whose conduct, ratings, or reliability falls below platform standards.


9. Confidentiality

You agree to keep confidential all non-public information related to EM's platform, pricing, Client information, and business operations. You will not share Client contact information, booking rates, or platform details with any third party outside the scope of performing your services.


10. Substitutions

You may not send a substitute musician to fulfill a confirmed booking without prior written approval from EM. Sending an unvetted or unapproved musician to a booking is a material violation of this Agreement and may result in immediate removal from the platform.


11. Intellectual Property & Media

You retain ownership of your original musical compositions. You grant EM a non-exclusive, royalty-free license to use your name, likeness, profile photo, and performance description for platform marketing purposes. You will not record, livestream, or publish content from a Client's service without their explicit permission.


12. Geographic Scope

This Agreement applies to all bookings facilitated through the EM platform, including those in Florida and any additional states in which EM operates now or in the future.


13. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. For bookings and disputes arising in other states, EM reserves the right to apply the applicable laws of that state where required.


14. Termination

Either party may terminate this Agreement at any time. You may deactivate your EM account at any time through the app. EM reserves the right to suspend or permanently remove any Musician for violations of this Agreement, the Gig Rulebook, or EM's platform policies. Termination does not release either party from obligations arising prior to the termination date, including pending payouts and outstanding disputes.


15. Entire Agreement

This Agreement, together with EM's Gig Rulebook and platform policies, constitutes the entire agreement between you and EmergencyMusician LLC regarding your engagement on the platform. It supersedes any prior verbal or written communications on the same subject.
